Affiliate Program Terms

The DepthSignal Affiliate Program allows approved participants ("Affiliates") to earn commissions by referring new paying customers to DepthSignal. Commissions are paid as a percentage of subscription revenue generated by referred customers, subject to the rates and conditions in these Terms.

The program is open to existing DepthSignal customers who meet the eligibility requirements below. There is no cost to join. Participation is subject to approval.

To apply, you must hold an active DepthSignal customer account. Applications are submitted through your platform account area and are reviewed manually. We may accept or decline any application at our discretion, without obligation to state reasons.

Upon submission, your application enters pending status. Once approved, your account becomes active and you may begin referring customers. Commissions are only earned while your account is in active status.

You may submit an optional preferred affiliate code (3-32 alphanumeric characters). If the preferred code is already taken, a random code is assigned. Codes are case-insensitive.

Referrals are tracked via a 30-day cookie set when a visitor clicks your referral link. Your unique referral link takes the form:

Attribution is last-click: if a visitor clicks multiple affiliate links before signing up, the most recent click receives credit. A referred customer can only be attributed to one affiliate. A customer you referred directly (or who is already registered) cannot be counted as your referral.

Self-referral (using your own referral link to create or credit a new account) is prohibited and will result in immediate account suspension.

Commissions are calculated as a percentage of each subscription payment made by a referred customer, based on your current affiliate tier and the customer's subscription tier.

Enterprise commissions are capped at $300.00 per referred customer per month, regardless of the subscription amount or your affiliate tier.

Commissions are calculated on the net subscription amount charged, after any applicable discounts. Annual plan discounts and add-on fees are included in the calculation base.

You earn commissions on each subscription payment made by a referred customer for a period of 6 months from the date of their first subscription payment. Payments made after this 6-month window do not generate commissions, even if the customer remains subscribed.

The commission window is per referred customer and runs from their first payment, not from the date of signup.

Commissions are subject to a 60-day clawback window from the date of the invoice they were earned on. If a referred customer is issued a full or partial refund within this window, the corresponding commission is reversed and deducted from your pending balance.

Commissions on invoices older than 60 days are not reversed, regardless of subsequent refunds or chargebacks.

Commissions remain in "pending" status during the clawback window. After admin approval, they move to "approved" status and become eligible for payout.

Your affiliate tier determines your commission rates. Tier upgrades are automatic when both the conversion and revenue thresholds are met. You start at Partner on approval.

"Conversions" means referred customers who have made at least one subscription payment. "Revenue generated" is the total subscription revenue attributed to your referrals (cumulative, all time). Both conditions must be satisfied to reach a tier.

We do not downgrade tiers for inactivity. Tier downgrades may occur if conversions or revenue figures are adjusted due to refunds, fraud reversals, or clawbacks.

Payouts are processed through DepthSignal's finance workflow by manual payout review and bank transfer using the payment reference and account details confirmed with you before the first payout.

The minimum payout threshold is $50.00 USD. Only commissions in "approved" status count toward the payout threshold. Pending commissions (those still within the 60-day clawback window or awaiting admin review) are not eligible until approved.

Payout requests are processed within 3-5 business days. You may have only one pending payout request at a time.

We are not responsible for bank transfer fees, intermediary-bank charges, currency conversion costs, or taxes applicable to your payout. You are responsible for declaring and paying any taxes on commission income in your jurisdiction.

The following are prohibited and will result in suspension or termination:

• Self-referral: using your own referral link to create or benefit from your own account
• Fake or incentivised signups: creating, funding, or encouraging accounts with no genuine intent to use the service
• Cookie stuffing: any technique that sets the referral cookie without the user clicking your link
• Misleading advertising: claims about DepthSignal that are inaccurate, exaggerated, or not supported by our published documentation
• Brand bidding: bidding on "DepthSignal" or variations as paid search keywords without our written consent
• Spam: unsolicited bulk email, forum spam, or any mass distribution of referral links
• Investment advice framing: presenting DepthSignal data as financial or investment advice when promoting the service

We may modify commission rates, tier thresholds, clawback windows, payout minimums, or any other program terms at any time. For material changes (including rate reductions or increases to the clawback window) we will provide at least 30 days' notice by email to your registered address before the change takes effect.

Continued participation in the program after a change takes effect constitutes acceptance of the revised terms.

Either party may terminate participation at any time. You may close your affiliate account via your platform account area. We may suspend or terminate your account immediately for violations of these Terms or our Acceptable Use Policy.

On termination for any reason other than fraud or policy violation, commissions already in "approved" status will be paid out within 30 days. Commissions in "pending" status at termination remain subject to the standard clawback window before becoming eligible for payment.

On termination for fraud or prohibited conduct, all pending and approved commissions are forfeited.
